The transaction included restructuring of various facilities by way of rescheduling, reduction in mark-up, issuance of Preference Shares, issuance of Privately Placed Term Finance Certificates, etc. The transaction will included obtaining requisite approvals from other lenders, shareholders and Securities & Exchange Commission of Pakistan;
  • Acted as transaction lawyer in the Musharka Transaction of PKR 3.2 Billion (Shirkat-ul-Aqd) in respect of Zaver Petroleum Corporation Limited (“Zaver”) the Investment Agent (on behalf of the Participants) entered in to a Musharaka with Zaver for the purpose of procuring oil and liquid petroleum gas for onward sale;
  • Acted as the transaction lawyer of Qasim International Container Terminal Pakistan Limited (“QICT”) (a subsidiary of Dubai Port World) in a Syndicated Musharka Transaction of PKR 7.3 Billion availed by QICT from the syndicate of banks i.e. Meezan Bank Limited, Faysal Bank Limited, Dubai Islamic Bank Pakistan Limited, Al Baraka Bank Pakistan Limited and the Bank of Punjab (the “Syndicate”);
  • We acted as the transaction lawyers and represented Al Baraka Bank (Pakistan) Limited in Diminshing Mushraka (Shirkat ul Milk) Facility of PKR 6.5 Billion availed by Sui Northern Gas Pipelines Limited from Al Baraka Bank (Pakistan) Limited;

Constitutional Matters

Following are a few constitutional cases that our firm has handled:

  • Nadeem Ahmed Advocate, Senior Partner of A&Q filed a petition in the Honorable Supreme Court seeking a declaration that post-2nd November 2007, induction of all ‘judges’ in the Honorable Supreme Court of Pakistan and in all High Courts be declared as illegal as they were done without meeting the constitutional requirement, i.e. without the prior consultation with the Chief Justice of Pakistan. He also prayed before the Supreme Court to declare all actions that General Musharraf had taken on 3rd November 2007, including promulgation of PCO, as illegal and also to declare that the Chief Justice of Pakistan, who at that time Justice Iftikhar Mohammad Chaudhry, remained Chief Justice of Pakistan from the first day that he assumed that office till that day, without break of a single day.
  • Nadeem Ahmed Advocate, our Leading Partner along with our entire litigation team assisted Aitzaz Ahsan in getting the Chief Justice of Pakistan restored to his judicial position. This constitutional Petition was filed under Article 184(3) by the former Chief Justice of Pakistan challenging the validity of the reference passed the then President under Article 209(5) of the Constitution of Pakistan 1973, denuding the Chief Justice of his judicial powers conferred upon him by the Constitution of Pakistan 1973 along with the composition of the Supreme Judicial Council of Pakistan and its competence to inquire the conduct of the Chief Justice of Pakistan. The Chief Justice of Pakistan was reappointed to his Judicial position and the Petition was upheld;
  • Nadeem Ahmed Advocate in his personal capacity filed a Petition and our office also offered legal expertise to the legal fraternity of Sindh Bar council Association in the formulation of a Constitutional Petition under Article 184(3) of the Constitution of Pakistan 1973 to challenge the Provisional Constitutional Order 1 of 2007 and the Oath of Judges Order 2007 (issued by former President Pervez Musharraf) by which the Chief Justice and Judges of the Supreme Court of Pakistan and the Chief Justice and the Judges of High Courts were declared to have ceased to hold their judicial office. The Provisional Constitutional Order (PCO), 2007 and the Oath of Judges Order, 2007 were declared invalid, illegal and void as it was ultra-vires the Constitution of Pakistan.
  • A & Q had again offered its legal expertise for challenging the insertion of Article 175-A through 18th Amendment in the Constitution of Pakistan, 1973 which adversely affected the judicial independence of the Judiciary as it granted veto powers to the Executive over the Judicial Commission in the appointment of the Judges. This case is still pending and it is due to this petition that the 19th Amendment has come about;
  • Nadeem Ahmed Advocate had filed a Constitutional Petition under Article 184(3) of the Constitution of Pakistan 1973 to challenge the non-issuance of the appointment of orders of two Judges of the Islamabad High Court by the President. The Supreme Court directed the authorities concerned to issue notifications thereby appointing one of the recommended names as Judge of Islamabad High Court and the other as Additional Judge of the Islamabad High Court for a period of six months, giving effect from their date of expiry from their earlier notifications. This Petition was converted into an appeal and allowed accordingly. Consequently, the government appointed both the judges.

  • Representing 10 major banks in Pakistan before Federal Shariat Court in a Shariat Petition filed by Dr. Shahid Hassan Siddiqui, one of leading economists against all commercial banks in Pakistan;
  • Drafted, filed and argued petition/appeal on behalf of the largest public sector bank of Pakistan, i.e. National Bank of Pakistan in the Honorable Supreme Court against the decision of Honorable Lahore High Court on Section 15 of Recovery Ordinance, 2001;
  • Defending SECP (the regulator of capital market and juristic entities in Pakistan) and its officials in a number of constitutional petitions before Sindh High Court, Lahore High Court and Islamabad High Court in which the appointments of Chairman and Commissioners of SECP have been challenged;
  • Represented a member company of a 30 years’ old and renowned group that is known for its courier services all around the world, namely TCS Group and got the customs authorities restrained through Hon’ble Lahore High Court from any undue or unlawful harassment to employees and senior executives of our client;
  • Representing National Bank of Pakistan in Recovery Suit, Winding-Up Petition and Criminal Complaint against its customer Fateh Textile Mills Limited for default of Rs. 5 billion (approx.). In Winding-Up Petition, we have also got the company restrained from selling or disposing off any of its assets till the final decision of the petition;
  • Representing Pakistan Broadcasters Association (the representative body of TV and Radio Broadcast Industry of Pakistan) and majority of its member broadcasters in a writ petition that has been filed against Federation of Pakistan etc before the Hon’ble Lahore High Court to challenge the imposition of double sales tax under Punjab Sales Tax on Services Act 2012 on the TV and radio advertisement services by the taxing authorities;
  • Representing Pakistan Broadcasters’ Association in a Civil Suit that has been filed by Coca Cola Export Corporation against the demand of withholding of sales tax by Sindh Revenue Board for the advertisement services provided by the member broadcasters of PBA that are residents of the province of Sindh;
  • Representing NBFI & Modaraba Association of Pakistan and 12 Modaraba Management Companies in a constitutional petition before Sindh High Court challenging levy of sales tax on the remuneration of Modaraba Management Companies as the profit received by a Modaraba Management Company in respect of managing the affairs of Modaraba is not a ‘service’ and therefore, it is out of the ambit of the Sindh Sales Tax on Services Act, 2011;
  • Representing Sultan Mehmood & Company a renowned engineering partnership firm and its sister concern namely Saadullah Khan & Brothers in various suits against National Highway Authority seeking direction of the Hon’ble Islamabad High Court for initiation of dispute resolution/arbitration proceedings;
  • Representing and defending SECP in a civil suit that was filed by Ghani Osman Securities (Pvt.) Limited and others before Sindh High Court seeking restoration of its brokerage license which was suspended by SECP as GOSPL had failed to honour its own undertaking to settle the claims of the investors/clients of Hum Securities Ltd (a sister concern company of GOSPL);
  • Representing a syndicate of Askari Bank Limited, Habib Metropolitan Bank Limited and Summit Bank Limited in Recovery Suit, Winding-up Petition and Criminal Complaint that have been filed against Divine Developers (Pvt.) Limited and others for recovery of Rs. 430 million (appr.);
  • Represented Bank Alfalah Limited in a number of recovery suits and other litigation proceedings against its customers namely, Javed Omer Vohra Group, Balochistan Glass, First Capital Equities Limited, Maaza Pakistan, Olympia Spinning and Weaving Mills Limited, etc. and have all these matters settled between the parties out of court;
  • Represented a syndicate of NBP, MCB, ABL, UBL and BEL in a court case involving an amount of French Francs 190 Mn;
  • Obtained a judgment from Sindh High Court in which, for the first time, a legal distinction has been laid down between Operating and Financial Leases;
  • Represented Meezan Bank Ltd in a court case against First Dawood Investment Bank Ltd and obtained restraining order against First Dawood Investment Bank Ltd from disposing off its shareholding in Dawood Islamic Bank Ltd.;
  • Represented Soneri Bank in a court case and obtained order for the sale of 95,000 tons of refined white sugar;
  • Representing Geo Group, a leading media group of the country that produces and imports films into Pakistan, in a Petition against Federation, Ministry of Commerce etc;
  • Representing Askari Bank Limited in a Recovery Suit Rs. 1.7 billion (appr.) filed before Karachi High Court;
  • On behalf of Geo Group, we have challenged various illegal fines imposed by the regulator PEMRA on its TV channels before Sindh High Court and got the fine imposing orders suspended by the court;
  • Filed civil suit on behalf of Saima Builders whose project ’Saima Luxury Homes’ was under attack by certain elements;
  • Represented and defended Tuwairqi Steel Mills Limited in a petition that was filed by a bidder against the award of tender valuing to Rs. 700 million floated by Karachi Shipyard and Engineering Works Limited to our client;
  • Filed various suits and petitions on behalf of Our Client Independent Motion Pictures (Pvt.) Limited (Geo/Jang Group) before various High Courts and got its foreign films namely ‘Dhoom 3’, ‘Ghunday’ and ‘Dedh Ishqiya’ imported and exhibited in the Cinemas of Pakistan.

  • Acting as the transaction lawyer in the Concession Transaction in respect of Shaheed Benazir Bhutto Intercity Bus & Terminal Project to be completed under Public-Private Partnership mode between Government of Sindh, Public Private Partnership Unit and Daewoo Bus Service;
  • Representing Daewoo Group in the Concession Transaction in respect of Bus Rapid Transit System Project (BRT) (Yellow Line) to be completed under Public-Private Partnership mode through Government of Sindh, Public Private Partnership Unit;
  • Acted as transaction lawyer for Pakistan’s first transaction under Infrastructure Project Finance guidelines issued by State Bank of Pakistan under which banks in Pakistan could lend without any security just on the basis of assignment of concession rights of the Project Company. The Project Company was Sarhad Hydel Development Organization (SHYDO) and the project was Malakand III. In this transaction, we also drafted the Concession Agreement that was later on executed between Government of Sarhad and SHYDO for the grant of concession of Malakand III Project to SHYDO. Advisor and Arranger was Orix Investment Bank;
  • Acted as transaction lawyer for AKD Group of Companies in the transaction (worth USD 35 Million approx.) of Assignment of concessionary rights in respect of the development, maintenance and management of Gwader Port to the Chinese Government;
  • Acted as the transaction lawyer of Orient Automotive (Pvt.) Limited (“Orient”) in the transaction of Technology Transfer Agreement Between Tianjin Auto Technology Company Limited and Orient Automotive (Pvt.) Limited. We represented Orient in exclusive technology transfer and know-how relating to the assembly and manufacture of the Vehicles from TianjinAuto Technology Company Limited to Orient. We drafted, reviewed and negotiated the Technology Transfer Agreement;
  • Acted as the transaction lawyer for Government of Sindh in the Concession Transaction in respect of Jhirk Mulla Katiar Road Bridge (over the River Indus) Project being developed under the Public-Private Partnership mode by Al Jasr Pakistan (Pvt.) Limited;
  • Acted as the transaction lawyer for Government of Sindh in the Concession Transaction in respect of Hyderabad-Mirpur Khas Dual Carriageway Project being developed under the Public-Private Partnership mode by Deokjae Constructions;
  • Acted as transaction lawyer for a PAIR led syndicate in project finance transaction of Rs. 702 million in relation to expansion of steel manufacturing project of ASG Metals Ltd;

  • Acting as transaction lawyer for a syndicate led by NBP, raising funds by PRACS for BMR of almost 100 identified locomotives of Pakistan Railway, the transaction also includes a comprehensive BMR Arrangement Agreement to be executed by PRACS and Pakistan Railway;

  • Privatisation Commission (“PC”) has kicked-off its process of divesting various state owned assets through the capital markets and in the first instance had initiated the process for the divestment of GOP equity shareholding in UBL (19.8% of UBL share capital, valuing US $ 400 Million).In this regard, PC had appointed joint local and international legal counsels. As local legal counsel, Ahmed & Qazi tasked with matters pertaining to Pakistani law including the negotiating, drafting and reviewing of transaction related documents and agreements, including the Financial Advisory Services Agreement, Offer for Sale Document, International Purchase Agreement and advising on these documents, negotiating them with the other parties and their legal counsels and also to provide ancillary services in relation thereto.

    As international legal counsel, Jones Day, a global top-tier legal services provider was acting in collaboration with Ahmed & Qazi in matters pertaining to the foreign leg of the divestment transaction. Jones Day’s role in the share divestment transaction included the drafting/extensive review of transaction documents where cross border elements of the transaction engaged. This included the provision of legal services in respect of the Financial Services Advisory Agreement, and the International Purchase Agreement. The transaction was completed successfully.

Securitisation

In terms of innovation, Ahmed & Qazi has been the transaction lawyer in certain pioneering transactions in the country such as issuance of commercial paper and infrastructure project finance. Out of a total of eight securitisation transactions that have been duly approved by the Securities and Exchange Commission of Pakistan to date, A & Q had been the transaction lawyer in the first seven of such transactions. As regards to securitisation, we provide, inter alia, the following services:

  • Advising on-balance sheet and off-balance sheet securitisation transactions;
  • Advising and drafting documents to enable companies to raise finance through issue of Asset-Backed Certificates;
  • Advising and incorporating a public limited company for the purpose of securitization and obtaining SPV license under asset backed securitization rules, 1999;
  • Advising on creation of trust for the beneficiaries of securitisation instrument and drafting Trust Deed for the same and arranging its registration;
  • Advising on listing of securitisation instrument on a stock exchange if required by the client;
  • Advising and drafting different investor agreements;
  • Advising and drafting different underwriting agreements;
  • Advising and preparing prospectus to be issued to public for the securitization;

Some of our renowned transactions are as follows;

  • Acted as transaction lawyer for Pakistan’s first properly approved securitization transaction involving lease receivables of PILCORP. Advisor-Arrangers were AKD Securities and ORIX Investment Bank. It was the first time that various documents required for completing securitization transaction were drafting in Pakistan and were approved by Securities and Exchange Commission of Pakistan;
  • Acted as transaction lawyer for Pakistan’s second properly approved securitization transaction involving TCS courier service. Advisor-Arrangers to the transaction were AKD Securities and Dawood Leasing;
  • Acted as transaction lawyer for Pakistan’s third securitization transaction. This was in oil and gas sector. The originator was Orient Petroleum Inc. and transaction size was Rs. 1 billion. This time the instrument was listed on the Karachi Stock Exchange. It was the first securitization TFC to be listed. Advisor-Arranger was ORIX Investment Bank;
  • Acted as transaction lawyer for Pakistan’s biggest securitization transaction. This was also in oil and gas sector. The originator was Orient Petroleum Inc. and transaction size was of PKR 1.2 billion. This instrument was also listed on Karachi Stock Exchange.
