It was the first time that various documents required for completing securitization transaction were drafting in Pakistan and were approved by Securities and Exchange Commission of Pakistan.

Represented a syndicate of NBP, MCB, ABL, UBL and BEL in a court case involving an amount of French Francs 190 Mn.

Drafted, filed and argued petition/appeal on behalf of largest bank of Pakistan in the Honorable Supreme Court against the Honorable Lahore High Court’s judgment on Section 15 and obtained an order from the Honorable Supreme Court for suspending the operation of the judgment of Honorable Lahore High Court.

Represented a syndicate of NBP, MCB, ABL, UBL, BEL, IDBP and HBL in a major loan restructuring transaction.

Handled and structured various innovative transactions including share option schemes for companies and issuance of TFCs in which Advisor-Arranger was Jahangir Siddiqui & Co.

Acted as transaction lawyer for Pakistan’s first transaction under Infrastructure Project Finance guidelines issued by State Bank of Pakistan under which banks in Pakistan could lend without any security just on the basis of assignment of concession rights of project company. The project company was Sarhad Hydel Development Organization (SHYDO) and the project was Malakand III. In this transaction, we also drafted the Concession Agreement that was later on executed between Government of Sarhad and SHYDO for the grant of concession of Malakand III Project to SHYDO. Advisor and Arranger was Orix Investment Bank.

Acted as transaction lawyer for Pakistan’s second properly approved securitization transaction involving TCS courier service. Advisor-Arrangers to the transaction were AKD Securities and Dawood Leasing.

Acted as lawyer for a major foreign oil and gas company in a foreign secured syndicated term loan transaction. Company’s foreign lawyer was Denton Wilde Septe. Advisor and Arranger of the facility was Credit Suisse International, which was represented by White and Case.

Acted as transaction lawyer for Pakistan’s biggest securitization transaction. This too was in oil and gas sector. The originator was Orient Petroleum Inc. and this time transaction size was Rs. 1.2 billion. This instrument was also listed on Karachi Stock Exchange.

Obtained a judgment from Sindh High Court in which, for the first time, a legal distinction has been laid down between Operating and Financial Leases.

Represented Meezan Bank Ltd in a court case against First Dawood Investment Bank Ltd and obtained restraining order against First Dawood Investment Bnak Ltd from disposing its shareholding in Dawood Islamic Bank Ltd.

Advised and drafted agreements and other documents for the largest bank in Pakistan for a transaction to restructure a loan of around Rs. 3 Bn. (US $ 150 Mn. approx.) of Pioneer Cement Ltd.

Acted as lawyers for Javedan Corporation Limited, we conducted a detailed legal audit of 46 cases of Javedan Corporation Limited pending in the Hon’able Supreme Court of Pakistan, the Hon’able High Court of Sindh, District and Sessions Court and Labour Court of Karachi. The audit was conducted to advise the client on how to strategically proceed with the pending cases and to get them adjudicated in a manner most favourable to the client. Advised National Bank of Pakistan on selection of consultant for implementation of Business Process Review and COSO from regulatory angle.

We represented the country’s largest government bank i.e. National Bank of Pakistan against the Fateh Textile Mills Limited in a Winding-Up Petition filed under the Companies Ordinance, 1984. The Winding-Up Petition has been filed on behalf of the bank in the capacity of a creditor as the company is in default of an amount of Rs. 5,000,000,000/- (approx.). We have also got the company restrained from selling or disposing of any of its assets till the final decision of the petition.

We are representing NBFI & Modaraba Association of Pakistan and 12 Modaraba Management Companies in a constitutional petition before Sindh High Court challenging levy of sales tax on the remuneration of Modaraba Management Companies as being ultra vires as the profit received by a Modaraba Management Company in respect of managing the affairs of Modaraba is not a ‘service’ and therefore, it is out of the ambit of the Sindh Sales Tax on Services Act, 2011.

We are representing Askari Bank Limited in a Recovery Suit (Value: PKR. 1,721,399,562/-) filed under Financial Institutions (Recovery of Finances), Ordinance 2001 before Karachi High Court.

On behalf of the country’s largest media Geo Group, we have challenged various illegal fines (each equal to PKR 1,000,000/-) imposed by the regulator PEMRA on the channels before Sindh High Court and got the fine imposing orders suspended by the court.

On behalf of Geo Group, we have filed a Civil Suit for Declaration and Permanent Injunction before Islamabad High Court and Criminal Complaint before IIIrd Additional Session Judge Karachi against the defamation of our client being carried out by the anchor person of another channel.

Saima Builders the Plaintiff (Our Client) launched a mega project (Value: PKR. 350,000,000 /-) known as Saima Luxury Homes and after obtaining a No Objection Certificate, commenced the campaigning of the Project. The Defendant No.1-5 started defaming the Project and also filed counter suits in order to halt the Project since they had malafide vested interests. Hence, we on behalf of Our Client filed this case along with an injunction application in order to restrain the Defendants from their illegal activities.

A tender (Value: PKR. 700,000,000/- ) was floated by Karachi Shipyard and Engineering Works Limited for repairing of facilities primarily of a Ship Lift, a one level Transfers Systems and corresponding repair stations. Two of the contesting bidders were the Petitioner and Our Client Tuwairqi Steel Mills Limited. The Petitioner raised objections with respect to the bid of Our Client getting entertained to which we on behalf of Our Client defended them.

We filed a Petition on behalf of Our Client Independent Motion Pictures (Pvt.) Limited (Geo/Jang Group) praying for their foreign films i.e. ‘Dhoom 3’, ‘Ghunday’ and ‘Dedh Ishqiya’ to be allowed to be imported and exhibited in the Cinemas of Pakistan. Since, the Import was carried out under the procedure outlined in law, the Honorable Court allowed us to import the film and exhibit it in Cinemas.
